"contents": "<span style=\"font-weight: 400;\">The Independent Regulatory Board for Auditors (Irba) has been thrown into another </span><span style=\"font-weight: 400;\">governance crisis after Finance Minister Tito Mboweni dissolved the entire board of a </span><span style=\"font-weight: 400;\">watchdog that investigates auditing failures in corporate SA.</span>\r\n\r\n<span style=\"font-weight: 400;\">This means that Irba doesn’t have a permanent board and it doesn’t comply with the </span><span style=\"font-weight: 400;\">Auditing Profession Act, which requires the watchdog to have between six and 10 </span><span style=\"font-weight: 400;\">individuals on the board to quorate.</span>\r\n\r\n<span style=\"font-weight: 400;\">In a statement on Thursday 28 January, the National Treasury said Mboweni – who oversees </span><span style=\"font-weight: 400;\">the governance of Irba but not its day-to-day administration – has appointed Nonkululeko </span><span style=\"font-weight: 400;\">Gobodo and Roy Andersen to act as “caretakers” until a permanent board has been </span><span style=\"font-weight: 400;\">appointed within the next three months.</span>\r\n\r\n<span style=\"font-weight: 400;\">Treasury said Mboweni met with Irba board members on 26 January before taking the </span><span style=\"font-weight: 400;\">decision to fire the entire board. Mboweni dissolved the Irba board following a series of </span><span style=\"font-weight: 400;\">resignations of board members and “challenges in the functioning of the board”. He didn’t </span><span style=\"font-weight: 400;\">name the exact challenges facing the Irba board.</span>\r\n\r\n<span style=\"font-weight: 400;\">The sacking of the Irba board is concerning on several fronts.</span>\r\n\r\n<span style=\"font-weight: 400;\">Having a high-functioning and full Irba board is important because the watchdog is </span><span style=\"font-weight: 400;\">attempting to restore credibility in the audit profession after many accounting scandals.</span>\r\n\r\n<span style=\"font-weight: 400;\">Some of the scandals are well documented: KPMG and Deloitte SA missed red flags and </span><span style=\"font-weight: 400;\">separately signed off the financial accounts of African Bank, Steinhoff, VBS Mutual Bank, </span><span style=\"font-weight: 400;\">and Tongaat Hulett, even when the companies themselves were cooking the books.</span>\r\n\r\n<span style=\"font-weight: 400;\">New board sacked</span>\r\n\r\n<span style=\"font-weight: 400;\">Mboweni appointed ten individuals in June 2020 to the now-sacked Irba board. It was the </span><span style=\"font-weight: 400;\">first time in two years that Irba had a full board of directors comprising ten individuals. The </span><span style=\"font-weight: 400;\">board members that have been shown the door seven months after their appointment </span><span style=\"font-weight: 400;\">include Martie Janse van Rensburg, Iqbal Motala, Madoda Petros, Nombulelo Gumata, </span><span style=\"font-weight: 400;\">Thembeka Semane, Preston Speckmann, Jesmane Boggenpoels, Shauket Fakie, and Prof. </span><span style=\"font-weight: 400;\">Nirupa Padia.</span>\r\n\r\n<span style=\"font-weight: 400;\">Without a fully functioning board, the governance and strategic direction of Irba have been </span><span style=\"font-weight: 400;\">left to the management, which includes CEO Jenitha John, who has only been on the top job </span><span style=\"font-weight: 400;\">for eight months. John faces her own problems at Irba.</span>\r\n\r\n<span style=\"font-weight: 400;\">The appointment of John has come under fire because for nine years until May 2019, she </span><span style=\"font-weight: 400;\">was the chair Tongaat Hulett’s audit committee – leading the function at the company that </span><span style=\"font-weight: 400;\">is responsible for overseeing the company’s financial reporting and disclosure. Problems at </span><span style=\"font-weight: 400;\">Tongaat Hulett were not detected during John’s time at the company. </span>\r\n\r\n<span style=\"font-weight: 400;\">A redacted PwC </span><span style=\"font-weight: 400;\">report into Tongaat Hulett’s affairs, released in November 2019, found that “undesirable </span><span style=\"font-weight: 400;\">accounting practices” led to the company’s profits being falsified and overstated.</span>\r\n\r\n<span style=\"font-weight: 400;\">John’s appointment caused an uproar because market watchers questioned how she can, as </span><span style=\"font-weight: 400;\">Irba CEO, investigate lapses in the broader audit profession when she presided over one of </span><span style=\"font-weight: 400;\">SA’s biggest accounting scandals (Tongaat Hulett).</span>\r\n\r\n<span style=\"font-weight: 400;\">The Organisation Undoing Tax Abuse (Outa), a lobby group, wrote to Mboweni in May 2020, </span><span style=\"font-weight: 400;\">saying that “appointing a CEO implicated in irregularities will not only be highly </span><span style=\"font-weight: 400;\">inappropriate but will also cause significant reputational damage to Irba”.</span>\r\n\r\n<span style=\"font-weight: 400;\">The appointment of John created divisions within the Irba board. Business Maverick was </span><span style=\"font-weight: 400;\">previously informed by Irba insiders that some board members and senior managers </span><span style=\"font-weight: 400;\">resigned in protest of John’s appointment.</span>\r\n\r\n<span style=\"font-weight: 400;\">Review of John’s appointment stalls</span>\r\n\r\n<span style=\"font-weight: 400;\">In response to the outcry, Mboweni asked the now-dissolved Irba board to review the </span><span style=\"font-weight: 400;\">appointment of John and determine if there were any irregularities and whether she’s fit for </span><span style=\"font-weight: 400;\">the top job. But without a permanent board, the review of John’s appointment now hangs in </span><span style=\"font-weight: 400;\">the balance.</span>\r\n\r\n<span style=\"font-weight: 400;\">Treasury’s statement on Mboweni’s decision to dissolve the Irba board didn’t mention </span><span style=\"font-weight: 400;\">John’s fate at the watchdog or the progress regarding the review of her appointment.</span>\r\n\r\n<span style=\"font-weight: 400;\">Treasury only made one reference to John in its statement. “The meeting [26 January with </span><span style=\"font-weight: 400;\">board members] was convened to provide the BoD [board of directors] with an opportunity </span><span style=\"font-weight: 400;\">to brief the Minister on the position the board has taken in respect of the chief executive </span><span style=\"font-weight: 400;\">officer [Jenitha John] and to discuss the resignation of a number of board members,” said </span><span style=\"font-weight: 400;\">Treasury. </span> <b style=\"font-size: 1rem;\">DM/BM</b>\r\n<ul>\r\n \t<li><em>Story corrected to make it clear that four Irba board members resigned before Mboweni dissolved the board this week.
